Terms of Service
Effective Date: 14 April 2026 · Governing Law: Republic of India
These Terms of Service ("Terms") constitute a legally binding agreement between you and Espaze governing your access to and use of the Platform. By registering or placing an order, you agree to be bound by these Terms. Please read them carefully.
1. Definitions
Platform
"Platform" refers to the Espaze website, mobile application, and all associated services operated by Espaze.
Seller
Any individual, sole proprietor, partnership, LLP, or company that registers on Espaze to list and sell products.
Customer
Any individual who browses, registers, or places an order on the Platform.
User
Collectively, Sellers, Customers, and any other person accessing the Platform.
Order
A confirmed purchase transaction initiated by a Customer for a product listed by a Seller on the Platform.
Listing
A product or service published on the Platform by a Seller, including its description, images, price, and availability.
2. Eligibility & Account Registration
Age & Capacity
You must be at least 18 years of age and legally capable of entering into binding contracts under the Indian Contract Act, 1872 to use the Platform. By registering, you represent that you meet these requirements.
Seller Verification
Sellers must provide accurate business details including GSTIN (where applicable), PAN, and bank account information. Espaze reserves the right to verify these details and suspend accounts where information is found to be false or misleading.
Account Security
You are solely responsible for maintaining the confidentiality of your login credentials. Any activity conducted through your account is your responsibility. Notify us immediately at support@espaze.in if you suspect unauthorised access.
One Account Per Entity
Each individual or business entity may maintain only one active seller account. Creating multiple accounts to circumvent suspensions or platform policies is prohibited.
3. Seller Obligations
Accurate Listings
Sellers must ensure all product listings are accurate, complete, and not misleading. This includes correct product descriptions, images, pricing, and available stock — in compliance with the Consumer Protection (E-Commerce) Rules, 2020.
Legal Compliance
Sellers are responsible for ensuring their products comply with all applicable Indian laws including the Legal Metrology Act, 2009, BIS standards, FSSAI regulations (for food products), Drugs and Cosmetics Act (for health products), and any other sector-specific regulations.
Prohibited Products
Sellers may not list counterfeit goods, narcotics, weapons, sexually explicit material, products infringing third-party intellectual property, or any item whose sale is prohibited under Indian law. Espaze will immediately delist and report such listings to authorities.
GST & Taxation
Sellers are solely responsible for determining, collecting, and remitting applicable GST and other taxes on their sales. Espaze provides GST invoicing infrastructure but does not assume tax liability on behalf of sellers.
Order Fulfilment
Sellers must fulfil confirmed orders within the committed dispatch time. Repeated failure to fulfil orders, excessive cancellations, or persistent delivery delays may result in account suspension.
Returns & Refunds
Sellers must honour their stated return and refund policy. In the absence of a stated policy, Espaze's default 7-day return policy applies, consistent with Consumer Protection Act, 2019 guidelines.
4. Customer Obligations
Accurate Information
Customers must provide accurate delivery addresses and contact details. Espaze and the Seller are not liable for failed deliveries resulting from incorrect information provided by the Customer.
Payment
Customers must ensure sufficient funds or credit are available to complete a transaction. By placing an order, you authorise Espaze to charge the selected payment method.
Prohibited Conduct
Customers may not place fraudulent orders, use stolen payment credentials, file false disputes, or abuse the returns system. Such conduct may result in account termination and legal action.
Review Integrity
Reviews and ratings must reflect genuine purchase experiences. Fake, incentivised, or malicious reviews are prohibited and may be removed without notice.
5. Payments & Fees
Payment Processing
Payments are processed through RBI-authorised payment gateways. Espaze does not store full card numbers or UPI credentials. All transactions are subject to the terms of the applicable payment gateway.
Platform Fees
Espaze charges a platform commission on completed sales. The applicable fee structure is published in the Seller Dashboard and may be updated with 30 days' notice.
Seller Payouts
Seller payouts are processed after the order is marked delivered and the return window has elapsed, subject to any holds for disputes or compliance review. Payout timelines are specified in the Seller Dashboard.
Disputes & Chargebacks
In the event of a payment dispute or chargeback initiated by a Customer, Espaze may withhold the relevant amount from the Seller's pending payout while the dispute is resolved. Sellers must cooperate by providing order evidence within 5 business days.
Refunds
Approved refunds to Customers are processed within 5–7 business days to the original payment method, subject to the payment gateway's processing timelines.
6. Intellectual Property
Espaze IP
All content, trademarks, logos, software, and technology on the Platform are owned by or licensed to Espaze. You may not copy, reproduce, modify, or distribute any part of the Platform without prior written consent.
Seller Content Licence
By uploading product images, descriptions, or other content, Sellers grant Espaze a non-exclusive, royalty-free, worldwide licence to display, reproduce, and adapt that content solely for the purpose of operating and promoting the Platform.
Infringement Claims
If you believe your intellectual property rights have been infringed by a Listing on the Platform, submit a written notice to legal@espaze.in with proof of ownership and the specific URL. Espaze will investigate and act within 72 hours of a valid notice.
7. Intermediary Status & Liability
Marketplace Model
Espaze operates as an intermediary marketplace under Section 79 of the Information Technology Act, 2000 and the IT (Intermediary Guidelines) Rules, 2021. The contract of sale is directly between the Seller and the Customer. Espaze is not a party to that contract.
Product Liability
Espaze is not the seller of record and is not liable for the quality, safety, legality, or fitness for purpose of any product listed on the Platform. Disputes regarding product quality must be raised directly with the Seller.
Limitation of Liability
To the maximum extent permitted by applicable Indian law, Espaze's aggregate liability to any User for any claim arising out of or related to these Terms shall not exceed the amounts paid by that User to Espaze in the 3 months preceding the claim.
No Warranty
The Platform is provided 'as is' and 'as available'. Espaze makes no warranty that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
8. Prohibited Activities
Platform Misuse
You may not use the Platform to transmit spam, malware, or unsolicited commercial communications; scrape data without written consent; reverse-engineer any part of the Platform; or attempt to gain unauthorised access to any system or account.
Off-Platform Transactions
Sellers may not solicit Customers to complete transactions outside the Platform to circumvent fees. Any such conduct may result in immediate account termination.
Manipulation
Artificially inflating sales ranks, views, or ratings through bots, coordinated groups, or paid schemes is strictly prohibited.
9. Suspension & Termination
By Espaze
Espaze may suspend or terminate any account at any time, with or without notice, for violation of these Terms, suspected fraud, legal obligation, or conduct that harms the Platform or other Users. Pending payouts may be withheld during investigation.
By the User
You may close your account at any time from your account settings. Closure does not extinguish obligations arising from orders placed prior to closure.
Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Sections relating to intellectual property, liability, dispute resolution, and governing law survive termination.
10. Dispute Resolution & Grievance
In-Platform Resolution
Users are encouraged to resolve disputes (order quality, delivery, refunds) through the Espaze Resolution Centre in the first instance. Espaze will facilitate communication but the final liability rests with the Seller.
Grievance Officer
Complaints may be escalated to our Grievance Officer at grievance@espaze.in. Acknowledgement within 24 hours; resolution within 15 days, as required under IT (Intermediary Guidelines) Rules, 2021.
Consumer Forum
Nothing in these Terms limits a Customer's right to approach a Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019.
Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
11. Amendments
Updates
Espaze may amend these Terms at any time. Material changes will be communicated via email or prominent platform notice at least 14 days before the effective date. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
